I was actively involved in the legal aspects of the acquisition of Estafeta México, a leading logistics and courier services provider in the country, in a transaction valued at over USD 100 million. My responsibilities included conducting legal due diligence across corporate, regulatory, and contractual matters. I reviewed and assessed risk exposures, key agreements, compliance status, and corporate governance structures to support the buyer’s strategic decision-making. I also collaborated with internal stakeholders and external counsel to ensure legal soundness and regulatory alignment throughout the transaction.
Advise on real estate transactions in Los Cabos involving foreign buyers, structuring acquisitions through property trusts in compliance with Mexican foreign investment regulations. My work included drafting and negotiating trust agreements with Mexican banks, reviewing title documentation, and ensuring regulatory compliance for transactions within the restricted zone. Additionally, I structured and implemented guarantee trusts to secure financing and other obligations related to high-value residential properties.
Experienced in handling national and international trademark registration processes, including conducting availability searches, preparing and filing applications, responding to office actions, and managing communications with IP authorities. Familiar with procedures before the Mexican Institute of Industrial Property (IMPI), as well as WIPO under the Madrid System
